整体上市能减轻大股东对小股东利益的侵占吗?

整体上市作为未来几年内国有企业改革的主要方向,在理论界和实务界引起关注①。但目前关于整体上市对中小投资者利益影响的实证研究非常缺乏。文章对我国整体上市企业是否可以减轻大股东对小股东侵占问题进行了实证研究。研究表明:整体上市能在一定程度上减轻大股东对小股东的利益侵占;整体上市的企业,随着流通比率的提高,大股东对小股东的利益侵占程度减少,而分拆上市的企业却没有这个现象;当控股股东是国家时,大股东对小股东的侵占程度更高,但整体上市时,国有股权对上市公司的掠夺会减轻。文章为我国整体上市治理和资本市场改善提供参考。     

Can Commercialization Improve the Performance of Stock Exchanges Even without Corporatization?

We examine the performance of mutual, demutualized, and publicly listed exchanges and find evidence of improved performance along the exchange governance continuum, with publicly traded exchanges exhibiting better operating performance than demutualized exchanges. However, our robustness test, focusing on the corporatized exchanges that have gone through the three phases of the governance structure, shows that the listed exchanges do not exhibit evidence of incremental gains in efficiency and profitability beyond what they achieved at the demutualization phase. We conclude that commercialization provides sufficient freedom for exchanges to exploit monopoly rents before going public, while corporatization brings about proper valuation of the exchanges’ franchise.     

A top-down creation of a cultural cluster for urban regeneration: The case of OCT Loft,Shenzhen

Researchers of related topics agree that the large-scale top-down development of a creative cluster by a real estate developer may obstruct rather than facilitate creativity and creative entrepreneurialism. OCT Loft, a design industry park in Shenzhen, China, is being celebrated as an exception. Based on analyses of primary and secondary data, we find that the Loft’s success can be attributed to two factors. First, the choice of design as the target industry was appropriate. Design is a fast-growing industry and thus needs space for expansion. Second, the developer chose tenants with good reputations in the industry rather than those offering the highest rent. Both these factors are difficult to implement. First, a growing industry is hard to find in a city where urban regeneration is needed. Second, the majority of developers cannot pass up maximising rent for a good reputation as OCT did. Indeed, OCT was able to pursue the Loft’s creative success because giving a good impression to potential clients was expected to result in future opportunities that would raise profit further. In sum, a large-scale top-down development can facilitate creative entrepreneurialism but only when the developer is not hasty in demanding an immediate return on investment.     

Foreign vs. domestic listing: An entrepreneurial decision

In this paper, we use a unique hand-collected dataset to analyze stock listing as an entrepreneurial decision. By comparing mainland Chinese entrepreneurial firms listed in Hong Kong with the same type of firms opting for a domestic listing on the Shenzhen second board market, we argue that the decision to list on a particular stock exchange is a question of entrepreneurial signaling, and often a trade-off between short-term financial considerations and the entrepreneur's pursuit of long-term benefits.
